Governance at scale

A new way of thinking about school trust governance at scale

As the school trust sector continues to consolidate, boards are governing charitable companies of greater size, complexity, and reach than ever before. The Academy Trust Governance Code sets out principles, desired outcomes, and recommended practice for effective trust governance. The fundamentals that underpin good governance design are consistent across any organisation, but scale introduces risks and complexities that require deliberate and different approaches.

While scale brings opportunities to improve outcomes and resilience, approaches that work well in smaller trusts do not automatically translate to larger, more complex organisations. When governing at scale, we know that complexity can increase faster than capacity, failure occurs when design lags behind delivery, and sustainability depends on planned reinvention rather than perpetual expansion.

During our conversations with governance professionals in school trusts, we have heard first hand that working at scale requires the capacity for cultural integration and proactive stakeholder engagement, alongside technical knowledge. Boards need to be confident that change can happen at scale, and can be managed well. But while existing national guidance acknowledges aspects of growth, it remains limited.

The Academy trust handbook primarily addresses scale through financial thresholds and compliance requirements, while the Academy trusts: governance guide makes important, but partial, references to readiness for growth, strategic ambition, and the need for professional governance support and capacity.

This paper responds to that gap. It provides boards and governance professionals with a principled framework for understanding why governance must change at scale, how good design can assure boards about the benefits of scale while mitigating the risks that scale creates, and what governance designed for scale looks like in practice.
